You are solely responsible for how you use it, what records you create, and whether those records meet any compliance or legal obligations applicable to your business. We provide the platform as-is and accept no liability for decisions made based on records created in the Service.
Acceptance of Terms
These Terms of Service ("Terms") form a legally binding agreement between you ("User," "you," or "your") and Loginboard ("Company," "we," "us," or "our") governing your access to and use of the Loginboard platform, website, and all associated services (collectively, the "Service").
By creating an account, clicking "Get started," or otherwise accessing or using the Service in any way, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to every provision of these Terms, you must immediately stop using the Service.
If you are accessing the Service on behalf of a company, organisation, or other legal entity, you represent that you have full authority to bind that entity to these Terms. In that case, "you" refers to that entity and all users accessing the Service under its account.
We may update these Terms at any time. Continued use of the Service after any update constitutes acceptance of the revised Terms.
The Service
Loginboard is a general-purpose field operational management and accountability platform for business teams. Features include, but are not limited to: named shift handoffs, SOP creation and attestation, shift scheduling, incident reporting, checklist management, audit trails, and task accountability records.
No compliance guarantee. The Service is provided as a general-purpose operational record-keeping and management tool only. It is not a certified compliance management system, a legal records platform, or a substitute for professional legal, regulatory, or compliance advice. We make no representation that the Service satisfies any regulatory or legal record-keeping requirement in any jurisdiction or industry. You are solely responsible for determining whether the Service is suitable for your compliance obligations.
Service changes. We reserve the right to modify, suspend, limit, or discontinue the Service or any feature thereof at any time, for any reason, with or without notice. We shall have no liability to you or any third party for any such modification, suspension, or discontinuation.
Availability. We do not guarantee that the Service will be available at any particular time, free from errors, or uninterrupted. Scheduled or unscheduled downtime may occur without notice.
Accounts & Registration
You must provide accurate and complete information when creating an account and keep that information current. You are entirely responsible for all activity that occurs under your account, whether or not authorised by you.
Account security. You are responsible for maintaining the security of your credentials. We are not liable for any loss or damage arising from unauthorised access to your account resulting from your failure to keep credentials secure. You must notify us promptly of any suspected breach of your account.
Named records. Every action taken within the Service is permanently attributed to your named account. By using the Service, you accept that your name will be attached to every record, log entry, attestation, handoff, and decision you create.
Board membership. When you join a board, your actions are visible to the board administrator and, where applicable, to the public. You have no expectation of privacy with respect to records created on a board.
Minimum age. You must be at least 16 years old to use the Service. By registering, you confirm you meet this requirement.
Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service to:
- Create false, fabricated, backdated, or fraudulent operational records
- Impersonate any person or misrepresent your identity or authority
- Violate any applicable law, regulation, or third-party right
- Transmit harmful, offensive, defamatory, or unlawful content
- Attempt to gain unauthorised access to any part of the Service or its infrastructure
- Use automated tools, bots, or scrapers without our prior written consent
- Reverse-engineer, decompile, or disassemble any part of the Service
- Interfere with the Service's integrity, performance, or security
- Attempt to circumvent, alter, or delete any audit log entry or immutable record
- Use the Service in any way that could expose us to legal liability
Audit log integrity. Attempting to alter, delete, or circumvent any audit record — through the interface, by direct database access, or by any other means — is a material breach of these Terms and may give rise to civil and criminal liability. We reserve the right to pursue all available legal remedies in such cases.
We may investigate any suspected breach of these rules and may suspend or terminate your account immediately and without notice. We are under no obligation to provide reasons for any suspension or termination.
Your Data & Records
Ownership. You retain ownership of content you create in the Service. You grant us a limited, worldwide, non-exclusive, royalty-free licence to host, store, process, and display your content solely to operate the Service.
Immutability. Certain records — including audit log entries, attestations, shift logs, handoff records, and decision entries — are intentionally immutable and cannot be edited or deleted. This is a core feature of the Service. By using the Service, you accept that records you create are permanent.
You are responsible for your records. You are solely responsible for the accuracy, legality, and appropriateness of all content and records you create. We do not review your records and accept no liability for any decision, action, or outcome based on records created in the Service.
Public pages and sign-off tokens. Public board pages and sign-off token links are accessible without authentication. You are solely responsible for what you expose publicly and for the secure management and distribution of sign-off tokens. We are not liable for any unauthorised access resulting from your mismanagement of public links.
GPS and location data. Location capture in the Service is opt-in and requires your explicit consent through an in-app prompt before any coordinates are captured or stored. You may decline location capture at any time without losing access to the underlying feature. Where you administer a board and your team members use the Service, you are solely responsible for: (a) ensuring each team member has been informed that location data may be captured and stored; (b) obtaining any additional consent or establishing any legal basis required under applicable employment, data protection, or privacy law in your jurisdiction before enabling or encouraging location capture; and (c) ensuring that any collection of employee location data complies with applicable law, including but not limited to GDPR, UK GDPR, DPDP Act 2023, and any sector-specific regulations. Loginboard provides the technical mechanism; all legal compliance obligations for your use case rest solely with you.
No backup guarantee. We endeavour to maintain data integrity but do not guarantee against data loss. You are responsible for maintaining your own copies of any critical records.
Data export. You may request an export of your data by contacting us through the Service. We will endeavour to fulfil reasonable export requests within a reasonable timeframe but do not guarantee any specific format or timeline.
Privacy
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection, use, and processing of your data as described in the Privacy Policy.
No anonymity. The Service is built on named accountability. All actions are permanently attributed to a real named user. There is no anonymous mode. You accept this as a fundamental characteristic of the Service.
Board administrator access. Board administrators have full visibility over all records, activity, and audit logs on their boards. By joining a board, you irrevocably consent to this visibility.
Payment & Billing
Free tier. The Service currently offers a free tier. We reserve the right to change the scope of the free tier at any time.
Paid features. If paid plans are introduced, additional payment terms will apply at the point of purchase. All fees are non-refundable except as required by applicable law.
Pricing changes. We reserve the right to change pricing at any time. Existing paid subscribers will receive at least 30 days' notice before any price change takes effect. Continued use after the effective date constitutes acceptance.
Taxes. You are responsible for all taxes applicable to your use of the Service. Where we are required to collect tax, it will be added to your invoice.
Termination
By you. You may close your account at any time. Closing your account does not delete records you have created on boards owned by others — those records remain as part of those boards' permanent audit trails.
By us. We may suspend or permanently terminate your access to the Service at any time, for any reason or no reason, with or without notice. Reasons may include, but are not limited to: breach of these Terms, suspected fraudulent activity, legal or regulatory requirements, or commercial decisions. We are under no obligation to provide reasons or compensation upon termination.
Effect of termination. Upon termination, your right to access the Service ceases immediately. Records you have created remain on the boards where they were made and cannot be deleted, in keeping with the Service's immutability principles.
Survival. Sections relating to ownership, indemnification, disclaimers, limitation of liability, and governing law survive termination of these Terms.
Indemnification
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Loginboard and its officers, directors, employees, contractors, agents, licensors, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of or access to the Service
- Your violation of these Terms or any applicable law or regulation
- Any content or records you create, upload, or transmit through the Service
- Your infringement of any third-party right, including intellectual property rights or privacy rights
- Any decision, action, or omission taken in reliance on records created in the Service
- Any claim by a third party arising from external incident acknowledgement records you have created using the Service
- Any claim arising from your failure to obtain appropriate consents for GPS data capture
- Any dispute between you and another user or board member
We reserve the right, at your expense, to assume exclusive control of any matter for which you are required to indemnify us. You agree to cooperate fully with our defence of any such claim. You must not settle any claim without our prior written consent.
Limitation of Liability
Please read this section carefully. It limits what we can be held responsible for. If you are not comfortable with these limitations, do not use the Service.
To the fullest extent permitted by applicable law, Loginboard and its officers, directors, employees, agents, and licensors shall not be liable for any loss or damage of any kind arising out of or in connection with your use of the Service, including but not limited to:
- Loss of profits, revenue, business, contracts, or anticipated savings
- Loss of data, records, or information
- Loss of goodwill or reputation
- Business interruption or downtime
- Any indirect, incidental, special, consequential, exemplary, or punitive damages
- Any loss arising from reliance on the Service as a compliance or legal record-keeping system
- Any loss arising from decisions made based on records created in the Service
- Any loss arising from unauthorised access to your account or data
- Any loss arising from the acts or omissions of third parties
Aggregate cap. To the extent any liability is found notwithstanding the above, our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the total fees actually paid by you to Loginboard in the three (3) months immediately preceding the event giving rise to the claim, or fifty US dollars (USD $50), whichever is greater.
These limitations apply regardless of the legal theory on which any claim is based, whether in contract, tort, statute, or otherwise, and regardless of whether we have been advised of the possibility of such damages. Some jurisdictions do not allow certain exclusions or limitations; in such jurisdictions our liability is limited to the maximum extent permitted by law.
Disclaimers
The Service is provided strictly on an "as is" and "as available" basis, without any warranty of any kind, express or implied. To the fullest extent permitted by law, we expressly disclaim all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement
- Warranties that the Service will be uninterrupted, timely, secure, error-free, or available at any particular time
- Warranties regarding the accuracy, completeness, reliability, or currency of any data or records
- Warranties that the Service is free from viruses or other harmful components
- Warranties that the Service meets any regulatory, compliance, or legal record-keeping requirement in your industry or jurisdiction
- Warranties regarding the outcome of any operational decision made using records created in the Service
Not a compliance tool. Loginboard is an operational accountability platform, not a certified compliance or legal record-keeping system. You are solely responsible for determining whether the Service satisfies any regulatory, legal, or industry-specific requirements applicable to your organisation. We accept no liability for regulatory penalties, fines, or legal consequences arising from your use of the Service.
Any advice, guidance, or recommendations provided by us through the Service or otherwise are for general informational purposes only and do not constitute legal, compliance, regulatory, or professional advice.
Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from any cause beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemic, war, terrorism, civil unrest, government action, power failures, internet outages, cyberattacks, failure of third-party services, or any other event outside our reasonable control ("Force Majeure Event").
In the event of a Force Majeure Event, our obligations under these Terms are suspended for the duration of the event. We will use reasonable efforts to resume normal service as soon as practicable. A Force Majeure Event does not entitle you to any refund, credit, or compensation.
Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Loginboard is incorporated, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts of that jurisdiction for any dispute arising out of or in connection with these Terms or the Service.
Informal resolution first. Before initiating any legal proceeding, you agree to attempt to resolve the dispute informally by contacting us. We will attempt in good faith to resolve any dispute within 30 days of receiving written notice.
No class actions. All disputes must be brought on an individual basis. You irrevocably waive any right to bring or participate in any class action, collective action, or representative proceeding in connection with the Service or these Terms.
Time limit on claims. Any claim arising out of or relating to these Terms or the Service must be brought within one (1) year of the date on which the cause of action arose. Claims not brought within this period are permanently barred.
Changes to Terms
We reserve the right to amend these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where practicable, notify registered users. Your continued use of the Service after any amendment constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service immediately.
